Terms of Service

The contract between you (the customer) and Cuelist (us) — what you agree to when you use the platform.

Acceptance

By creating a Cuelist account or using the platform on behalf of an organisation, you agree to be bound by these Terms. If you accept on behalf of an organisation, you represent that you have the authority to do so.

We may update these Terms from time to time. Material changes will be announced via email to the organisation's billing contact and surfaced via the version banner at the top of this page. Continued use of the service after a change takes effect constitutes acceptance.

The service

Cuelist provides a multi-tenant SaaS for theatre script annotation, cue management, and live booth collaboration. The exact feature set depends on the plan tier the organisation is subscribed to. We aim for high availability but make no formal SLA at the published Starter and Pro tiers; Enterprise customers can negotiate an SLA as part of a separate Master Service Agreement.

We may modify, suspend, or discontinue any aspect of the service at any time, with reasonable notice for material changes that disable features paid customers rely on.

Accounts + organisations

A Cuelist account is for a single human. Sharing accounts is not permitted. Organisations contain seats; each seat must correspond to a distinct user. You are responsible for keeping your credentials secure and for all activity that occurs under your account.

The organisation owner is responsible for managing membership, billing, and access to organisation-controlled data. We rely on the owner's instructions for membership decisions.

Subscription + payment

Paid plans are billed in advance per seat per billing cycle (monthly or annual). We use Stripe for subscription billing and tax handling; Stripe's terms govern the payment processing relationship.

New organisations receive a 14-day trial on signup with no payment card required. After the trial ends without subscription, the organisation enters a read-only state — existing data remains accessible, but edits and new uploads are blocked until a plan is chosen.

Subscriptions renew automatically. You may cancel at any time via the Stripe Customer Portal; service continues until the end of the current billing period. Refunds are at our discretion outside of mandatory consumer-protection statutes.

Customer data + content

You retain all rights, title, and interest in the scripts, annotations, cues, and other content you upload to Cuelist (your "Customer Content"). You grant us a non-exclusive licence to host, transmit, and process Customer Content solely to provide the service to you.

You are responsible for ensuring that you have the rights to upload Customer Content and that doing so does not infringe the intellectual property or privacy rights of any third party.

We do not access Customer Content except as necessary to operate the service (e.g. troubleshooting at your request, security incident response). Our handling of personal data is governed by the Privacy Policy and the Data Processing Agreement.

Acceptable use

You agree not to use the service to: upload malware; attempt to probe, scan, or test the vulnerability of the platform without prior written authorisation; circumvent quotas or abuse-prevention measures; impersonate another person or organisation; or upload content that is unlawful in your jurisdiction.

We reserve the right to suspend accounts that violate these provisions, with notice where possible and without notice where the violation poses an immediate risk to the platform or other customers.

Intellectual property

Cuelist, the Cuelist mark, the GO triangle device, and the platform itself remain our property. Nothing in these Terms grants you a licence to our trademarks, branding, or source code beyond the right to use the service as offered.

Termination

You may terminate at any time by cancelling your subscription and deleting your account from /settings. We may terminate for material breach of these Terms with 30 days' notice (or immediately for breaches that pose ongoing risk).

On termination, we retain your data for 30 days during which you can export it via the standard export tooling or request a custom export via support@cuelist.dev. After 30 days, all Customer Content is deleted from primary storage; backups age out within 90 days thereafter.

Warranties + disclaimers

The service is provided "as is" and "as available." We warrant that we will provide the service with reasonable skill and care, but disclaim all other warranties to the maximum extent permitted by law, including warranties of merchantability and fitness for a particular purpose. The service is not designed for life-safety-critical use.

Limitation of liability

To the maximum extent permitted by law, our aggregate liability under or in connection with these Terms is limited to the fees paid by you for the service in the twelve months preceding the event giving rise to the liability. Neither party is liable for indirect, consequential, or special damages.

Nothing in these Terms limits liability that cannot be limited under applicable law (e.g. liability for fraud, gross negligence, or death or personal injury caused by negligence).

Indemnification

You agree to indemnify and hold us harmless against third-party claims arising from your Customer Content or your breach of these Terms, except to the extent caused by our breach.

Governing law + venue

These Terms are governed by the laws of Norway. The courts of Oslo have exclusive jurisdiction over disputes arising from or in connection with these Terms, except that either party may seek injunctive relief in any competent court to protect its intellectual property.

Assignment

You may not assign these Terms without our prior written consent (not to be unreasonably withheld). We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, with notice to you.
